8Limitation of Liability

9Termination and Suspension

Either party may terminate service agreements according to the termination clauses specified in individual contracts. We reserve the right to suspend or terminate services immediately in cases of breach of these terms or non-payment.

Termination Procedures:

  • Written notice of termination must be provided according to contract terms, typically 30 days in advance
  • Upon termination, we will assist with data migration and handover procedures as specified in your service agreement
  • Final invoices will be issued for all completed work and services provided up to the termination date

Immediate termination may occur in cases of material breach, non-payment, or violation of these terms and conditions.

10Force Majeure

Neogenixlabs Technologies & Services shall not be liable for any failure or delay in performance under any service agreement which is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or widespread technical failures.

In the event of a force majeure situation, we will make reasonable efforts to minimize disruption to your services and will communicate with you regarding alternative arrangements and expected resolution timelines.

11Governing Law and Dispute Resolution

These Terms and Conditions and any disputes arising from our services shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution Process:

  • We encourage resolving disputes through direct communication and negotiation
  • If direct resolution is not possible, disputes may be submitted to mediation through a mutually agreed mediator
  • Unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India
  • Each party shall bear their own legal costs and expenses unless otherwise determined by the court

12Amendments and Updates
